1. Acceptance of this agreement
This User Agreement ("Agreement") is a legal agreement between you and NxyToon ("NxyToon," "we," "us," or "our") governing your use of the NxyToon photo editing tool and related website (together, the "Service").
By accessing or using the Service, you agree to this Agreement and our Privacy Policy. If you do not agree, do not use the Service.
2. The Service
NxyToon provides tools that may allow you to crop, arrange, retouch, save, or otherwise customize photos. Available features may vary by device, version, region, and future product updates.
We may modify, suspend, or discontinue all or part of the Service when reasonably necessary. We will provide notice where required by applicable law.
3. Limited license
Subject to this Agreement, NxyToon grants you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for lawful personal purposes.
You may not copy, sell, sublicense, reverse engineer, interfere with, or attempt to gain unauthorized access to the Service except where such a restriction is prohibited by law.
4. Your photos and creative content
You retain ownership of photos and other content you submit to or create with the Service ("User Content"). You are responsible for User Content and must have the rights and permissions needed to use it.
You grant NxyToon only the limited permission needed to process User Content to provide, maintain, secure, and troubleshoot the functions you request. This permission ends when the relevant processing is no longer reasonably needed, subject to lawful retention and technical backup requirements.
5. Acceptable use
You agree not to use the Service to:
- break any applicable law or encourage unlawful conduct;
- upload content you do not have permission to use;
- harass, exploit, impersonate, defraud, or harm another person;
- introduce malicious code, overload the Service, bypass security, or disrupt other users;
- scrape, automate access to, or commercially exploit the Service without written permission; or
- remove ownership notices or misrepresent your relationship with NxyToon.
6. NxyToon ownership
The Service, including its software, interface, visual design, and NxyToon branding, is owned by or licensed to NxyToon and is protected by applicable intellectual property laws. This Agreement does not transfer any ownership rights to you.
Feedback you voluntarily provide may be used to improve the Service without restriction or payment, provided we do not publicly identify you without permission.
7. Suspension and termination
You may stop using the Service at any time. We may restrict or terminate access if you materially violate this Agreement, create risk or legal exposure, or misuse the Service. Where appropriate and legally required, we will give notice and an opportunity to address the issue.
Provisions that should reasonably survive termination, including ownership, disclaimers, liability limits, and dispute provisions, will remain in effect.
8. Disclaimers
To the fullest extent permitted by law, the Service is provided "as is" and "as available." We do not guarantee that it will always be uninterrupted, error-free, secure, or compatible with every device, or that an edited image will meet every intended purpose.
Nothing in this Agreement excludes warranties or consumer rights that cannot lawfully be excluded.
9. Limitation of liability
To the fullest extent permitted by law, NxyToon will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of data, profits, goodwill, or opportunities resulting from your use of the Service.
Where liability cannot be excluded, it will be limited only to the extent permitted by applicable law. Some locations do not allow certain limitations, so parts of this section may not apply to you.
10. General terms and changes
If any provision is found unenforceable, the remaining provisions remain effective. Our failure to enforce a provision is not a waiver. You may not transfer this Agreement without our consent; we may transfer it as part of a reorganization or business transfer subject to applicable law.
We may update this Agreement to reflect changes to the Service or law. The effective date above will identify the latest version. Material changes will be communicated where required. Continued use after an update means you accept the revised terms for subsequent use.
